Terms of Service

1. Introduction

Welcome to Deep Tech Week ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") govern your use of our website, mobile applications, and services operated by Hyperstition Incorporated.

By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Platform.

2. Account Terms

  • * You must be at least 18 years old to use this Platform.
  • * You are responsible for maintaining the security of your account and password.
  • * You are responsible for all activities that occur under your account.
  • * You must provide accurate, complete, and current information in your profile.
  • * You may not use the Platform for any illegal or unauthorized purpose.
  • * One person or entity may not maintain more than one account.

3. Fees and Commissions

Platform Commission

20% Commission

Deep Tech Week charges a 20% commission on all paid transactions processed through the Platform. This includes:

  • * Ticket sales for paid events
  • * Spot auction proceeds
  • * VIP pass sales
  • * Sponsored event revenue
  • * Clout purchases

Commission is calculated on the gross transaction amount before payment processing fees. Payment processor fees (typically 2.9% + $0.30 per transaction) are passed through to the event host.

Payouts

  • * Event hosts receive payouts within 7 business days after their event concludes.
  • * Minimum payout threshold is $50 USD. Amounts below this threshold will be held until the minimum is reached.
  • * Payouts are made via bank transfer or the payment method specified in your account settings.
  • * Hosts are responsible for any applicable taxes on their earnings.

4. Refund Policy

Attendee Refunds

  • * Before event starts: Refund requests may be submitted up until the event start time. Approval is at the discretion of the event host.
  • * After event ends: Tickets are non-refundable once the event has concluded.
  • * No-shows: No refunds are provided for failure to attend an event.
  • * Cancelled events: If an event is cancelled by the host, full refunds will be issued automatically.

Host Refund Policies

Event hosts may set their own refund policies that are more generous than our default policy. These policies will be displayed on the event page. Hosts cannot set policies that are more restrictive than the defaults above.

Clout Refunds

Purchased Clout is non-refundable. Earned Clout has no cash value and cannot be exchanged for money.

Auction Refunds

Winning bids in spot auctions are binding commitments. Refunds are not available for auction purchases unless the event is cancelled.

5. Event Hosting Terms

  • * Event hosts are responsible for the accuracy of their event descriptions and the quality of their events.
  • * Hosts must comply with all applicable laws and venue requirements.
  • * Events must be relevant to the deep tech community and align with Deep Tech Week themes.
  • * We reserve the right to reject or remove events that do not meet our quality standards.
  • * Hosts agree not to collect attendee data for purposes other than event management without explicit consent.
  • * Hosts are responsible for obtaining any necessary permits, licenses, or insurance for their events.

6. User Conduct

You agree not to:

  • * Harass, abuse, or harm other users
  • * Create fake or misleading profiles
  • * Spam other users with unsolicited messages or promotions
  • * Manipulate the reputation or Clout systems
  • * Circumvent event capacity limits or registration requirements
  • * Resell tickets or event access unless explicitly permitted
  • * Use the Platform to promote illegal activities
  • * Scrape or harvest user data without permission

7. Reputation and Clout System

  • * Your reputation score reflects your participation and conduct within the community.
  • * Reputation may be decreased for negative behaviors including no-shows, cancellations, or reports from other users.
  • * Clout can be earned through participation or purchased directly.
  • * Clout has no cash value and cannot be transferred between users.
  • * We reserve the right to adjust Clout balances in cases of fraud or system abuse.
  • * Trust scores are internal metrics used to help hosts evaluate applicants and are not disclosed to users.

8. Intellectual Property

  • * The Platform and its original content, features, and functionality are owned by Hyperstition Incorporated.
  • * You retain ownership of content you upload, but grant us a license to use it for Platform operation.
  • * You may not use our trademarks or branding without written permission.
  • * Event content and materials remain the property of respective hosts and speakers.

9. Limitation of Liability

To the maximum extent permitted by law, Hyperstition Incorporated shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

We are not responsible for:

  • * The quality, safety, or legality of events listed on the Platform
  • * The accuracy of event listings or user profiles
  • * The conduct of users at events
  • * Any disputes between users, hosts, or attendees

10. Termination

  • * We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or the Platform.
  • * You may delete your account at any time through your account settings.
  • * Upon termination, your right to use the Platform will immediately cease.
  • * Any pending payouts at the time of termination will be processed according to our standard schedule, minus any amounts owed to us.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Hyperstition Incorporated.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or Platform notification. Your continued use of the Platform after changes constitutes acceptance of the new Terms.
